Terms and Conditions

Professional Online Courses
Last Updated: October 9, 2026

Introduction

These Terms and Conditions, together with any policies, course descriptions, order confirmations, acceptable-use requirements, and notices incorporated by reference, constitute a legally binding agreement between they and MB Engineered Consulting Inc., operating through its subsidiary MB Academy.

In these Terms:

  • “MB Academy,” “we,” “us,” or “our” means MB Academy, a subsidiary of MB Engineered Consulting Inc. (“MBEC”).
  • “Platform” means the MB Academy website, learning-management system, applications, course portals, and related digital services.
  • “Course” means any professional online course, program, module, webinar, assessment, workshop, recording, or other educational offering made available through the Platform.
  • “Course Materials” include videos, audio recordings, slides, presentations, manuals, workbooks, templates, illustrations, assessments, assignments, downloads expressly authorized by us, models, methods, graphics, written content, software, and related materials.
  • “Students” or “they” means the person who registers for, purchases, or accesses a Course or the Platform.

By creating an account, purchasing a Course, selecting an acceptance box, or accessing the Platform, they confirm that they have read, understood, and agreed to these Terms and our Privacy Policy.

If they do not agree, they must not purchase a Course or access the Platform.

Corporate Identity and Contact Information

MB Academy provides professional online education as a subsidiary of MB Engineered Consulting Inc.

Payments may appear on statements under MB Academy, MB Engineered Consulting Inc., MBEC, or the name of an authorized payment processor.

Eligibility

Students may use the Platform only if:

  • they have the legal capacity to enter into a binding agreement
  • the information they provide is accurate, complete, and current
  • their use is lawful in their country or territory
  • they comply with these Terms and all Course requirements

They must be at least 18 years old, or the age of legal majority where they reside. A person below the applicable age of majority may enroll only with the verifiable consent of a parent or legal guardian who agrees to be responsible for the enrollment, payment, and compliance with these Terms.

We may decline, restrict, suspend, or cancel an enrollment where eligibility requirements have not been met.

Accounts and Account Security

Students must create and maintain only one personal account unless MB Academy provides written authorization otherwise.

They agree to:

  • provide accurate registration and billing information
  • keep their password and authentication information confidential
  • notify us promptly of suspected unauthorized access
  • not sell, transfer, lend, sublicense, or share their account
  • not permitting another person to attend, view, complete, or obtain credit for a Course through their account
  • accept responsibility for activity occurring through their account, except to the extent caused by MB Academy’s failure to apply reasonable safeguards

An enrollment is licensed to the individual named in the registration and is not transferable without our prior written approval.

Course Descriptions

We make reasonable efforts to describe each Course accurately. Course descriptions may identify learning objectives, expected duration, prerequisites, instructors, assessment requirements, access duration, delivery format, certificate requirements, and technical requirements.

Course descriptions, promotional materials, previews, and outlines do not guarantee any employment, promotion, licence, professional designation, examination result, business outcome, income, or particular level of competency.

Enrollment and Acceptance of Orders

Submitting payment does not require MB Academy to accept an enrollment. An enrollment is accepted when we issue an order confirmation, receipt, or access credentials.

We may reject or cancel an order before Course access begins if:

  • pricing or Course information contains an obvious error
  • the Course is unavailable or cancelled
  • payment cannot be verified
  • fraud or unauthorized payment is suspected
  • enrollment restrictions apply
  • accepting the enrollment would violate applicable law
If we cancel an enrollment before providing access for a reason unrelated to a Student’s breach, we will return the applicable amount paid.

Tuition, Charges, Taxes, and Payment

Course tuition and applicable charges are shown during checkout.

Unless otherwise expressly stated:

  • prices are stated in Canadian dollars
  • applicable sales, value-added, goods and services, harmonized sales, withholding, or similar taxes may be added
  • they are responsible for bank fees, foreign exchange charges, and payment-provider charges imposed by third parties
  • payment must be made using an authorized payment method
  • access may be withheld until cleared payment is received

Students authorize MB Academy and its payment processors to charge the payment method submitted for all disclosed fees and taxes.

If a payment is reversed, dishonoured, charged back, or found to be unauthorized, we may suspend access while the matter is investigated.

Non-Refundable Tuition Policy

All tuition, enrollment fees, administrative fees, and other Course charges are final and non-refundable once paid, except where a refund, cancellation right, credit, or other remedy is expressly required by applicable law.

Before paying, they are responsible for reviewing the Course description and syllabus, prerequisites, delivery method, access period, technical requirements, scheduling commitments, language, assessment requirements, and suitability for their personal or professional objectives.

No refund or credit will ordinarily be provided for a change of mind; failure to begin or complete a Course; scheduling conflicts; personal, employment, travel, immigration, or financial circumstances; insufficient internet access or incompatible personal equipment; failure to satisfy prerequisites; dissatisfaction based on matters clearly disclosed in the Course description; suspension or termination resulting from a violation of these Terms; failure to use the Platform during the access period; or an exchange-rate or bank-charge difference.

Nothing in this section limits a mandatory statutory right that cannot legally be waived. If applicable law gives they such a right, they must submit the request to [email protected] with their name, order number, payment date, country or province of residence, and the legal basis for the request.

Course Access Period

Unless a Course page or written enrollment agreement expressly states otherwise, paid Course access begins on the earlier of:

  1. the date MB Academy activates the Course in their account
  2. the date they first access the Course, and continues for 180 consecutive calendar days

At the end of the applicable access period:

  • Course videos and materials may no longer be available
  • unfinished lessons, tests, or assignments may become inaccessible
  • the students are not entitled to a refund or credit for unused access
  • continued access may require payment of a reactivation or extension fee

A Course-specific access period shown at checkout or in the Course description takes priority over the general 180-day period.

MB Academy may provide an extension in exceptional circumstances at its discretion. An extension is not guaranteed and does not establish an obligation to grant extensions to other Students.

Certificates already validly issued may remain verifiable after access ends, subject to the certificate terms and continued operation of the verification service.

Limited Licence

Subject to payment, account good standing, and compliance with these Terms, MB Academy grants they a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and view the Course Materials during the applicable access period solely for their own professional education.

This licence does not transfer ownership of any intellectual-property rights.

No licence is granted for corporate training, classroom presentation, resale, consulting delivery, publication, model training, database creation, commercial exploitation, or use by any person other than the enrolled Student.

Proprietary Class 1 Course Materials

All Course videos and Course Materials are designated “Proprietary Class 1,” meaning MB Academy’s highest internal classification for proprietary educational content.

Except where MB Academy provides express written authorization, Students must not:

  • download or attempt to download streaming video or protected Course Materials
  • screen-record, audio-record, photograph, capture, scrape, crawl, copy, or archive Course content
  • reproduce, republish, upload, distribute, transmit, broadcast, display, translate, adapt, modify, or create derivative works
  • share account credentials or allow another person to view Course content
  • post Course Materials to social-media sites, cloud drives, file-sharing systems, artificial-intelligence systems, repositories, forums, messaging groups, or other platforms
  • sell, rent, licence, assign, or otherwise commercially exploit the Course Materials
  • remove copyright, trademark, confidentiality, digital-rights-management, or ownership notices
  • bypass access controls, encryption, watermarks, download restrictions, or security features
  • use Course content to create or train a competing course, service, product, algorithm, model, or database
  • disclose assessment questions, answers, solutions, instructor materials, or restricted discussion content

If a particular document is expressly made downloadable, they may retain one personal-use copy. Download permission does not permit reproduction, distribution, public display, sharing, resale, or commercial use.

Intellectual-Property Ownership

The Platform and Course Materials are owned by or licensed to MB Academy, MBEC, their instructors, or their licensors and are protected by applicable copyright, trademark, trade-secret, contractual, and other intellectual-property laws.

MB Academy and MBEC names, logos, course names, graphics, and related branding may not be used without prior written permission. All rights not expressly granted are reserved.

Unauthorized use may result in immediate termination, claims for injunctive relief, damages, investigation costs, legal costs where recoverable, and any other remedy available under applicable law.

Monitoring and Protection of Content

To protect Students and proprietary materials, MB Academy may use reasonable security and content-protection measures, including access logs, device and session information, concurrent-login controls, digital watermarks, user-specific identifiers, download and copying restrictions, assessment-integrity tools, and systems designed to identify abnormal access or sharing.

Any monitoring will be conducted in accordance with the Privacy Policy and applicable law.

Acceptable Use

They must not use the Platform to violate any law or third-party right; harass, threaten, impersonate, defame, or discriminate against another person; upload malicious code or interfere with security or functionality; gain unauthorized access to accounts, systems, or data; collect information about other users without authorization; submit another person’s work as their own; obtain answers dishonestly; falsify identity, attendance, assessment, or completion information; engage in automated or excessive access; use Platform content to provide unapproved advice or services; or encourage another person to breach these Terms.

Academic and Assessment Integrity

All assignments, tests, projects, and assessments must be completed by the registered Student unless collaboration is expressly permitted.

Prohibited conduct includes plagiarism, impersonation, contract cheating, unauthorized collaboration, sharing assessment content, use of unauthorized reference materials, falsifying evidence or completion records, and using artificial-intelligence tools where a Course or assessment prohibits them.

MB Academy may investigate suspected misconduct and may invalidate an assessment, require reassessment, withhold or revoke a certificate, suspend access, or terminate enrollment.

Certificates and Professional Recognition

A certificate is issued only when the Student satisfies the stated completion, attendance, assessment, payment, and conduct requirements.

Unless expressly stated in writing, an MB Academy certificate is a certificate of participation or completion; is not an academic degree, diploma, professional licence, government authorization, or guarantee of competency; does not authorize the Student to perform regulated work; and does not guarantee acceptance by an employer, regulator, association, licensing body, educational institution, or immigration authority.

Students are responsible for determining whether a Course meets the requirements of a particular employer, regulator, association, or jurisdiction.

MB Academy may correct, suspend, or revoke a certificate obtained through error, fraud, impersonation, non-payment, or academic misconduct.

Instructors and Course Changes

MB Academy may make reasonable changes to instructors, schedules, lesson order, assessment methods, technology, examples or case studies, supporting resources, and Course Materials.

Such changes may be made to improve quality, maintain accuracy, meet legal requirements, address instructor availability, or respond to technical needs.

We will not make a change that materially removes the essential educational purpose of a paid Course without providing an appropriate remedy where required by law.

Availability and Technical Requirements

The Platform may be temporarily unavailable because of maintenance, updates, internet failures, cybersecurity events, hosting-provider issues, or circumstances outside our reasonable control. We do not guarantee uninterrupted or error-free operation.

They are responsible for maintaining a supported browser and device, adequate internet connectivity, current security software, a working email address, required software, and any accessibility technology they use.

If a technical problem originates from MB Academy and materially prevents access for a significant period, we may extend the access period or provide another reasonable remedy. This does not create a general entitlement to a tuition refund.

Accessibility

MB Academy seeks to provide its services in an accessible manner. Requests for an available accommodation or accessible format may be submitted to [email protected]

The nature and timing of an accommodation may depend on the Course format, technology, available alternatives, and applicable legal obligations.

Student Submissions and Feedback

Students retain ownership of original work that they submit, subject to the rights necessary for MB Academy to deliver and administer the Course.

They grant MB Academy and MBEC a limited, non-exclusive licence to host, reproduce, review, grade, annotate, and otherwise use their submission for Course delivery, assessment, academic-integrity review, support, recordkeeping, and legal or regulatory compliance. This licence continues only as long as reasonably necessary for those purposes.

If they voluntarily provide suggestions or general feedback, they permit MB Academy and MBEC to use that feedback without compensation or attribution, provided we do not publicly identify they without permission.

Testimonials, photographs, recorded interviews, or identifiable Student success stories will be used for promotional purposes only with any consent required by applicable law.

Third-Party Services and Links

The Platform may rely on third-party services such as payment processors, hosting services, video providers, communication systems, assessment tools, and analytics providers.

Third-party sites and services may be governed by their own terms and privacy policies. MB Academy is not responsible for third-party content or practices, except to the extent responsibility cannot be excluded under applicable law.

Suspension and Termination

MB Academy may suspend or terminate access where it reasonably believes that these Terms have been breached; tuition is unpaid, reversed, or disputed; credentials or Course Materials have been shared; intellectual-property rights have been violated; fraud, misconduct, or security threats are present; continued access risks harm to another person or the Platform; or suspension is required by law.

Where appropriate, we may provide notice and an opportunity to respond. Immediate action may be taken to protect security, proprietary content, other users, or legal rights.

Termination for Student breach does not create a right to a refund.

Sections concerning intellectual property, confidentiality, payments, disclaimers, liability, indemnity, dispute resolution, and any provisions intended by their nature to survive will remain effective after termination.

Educational Disclaimer

Courses are provided for general professional education and informational purposes.

Unless a Course expressly states otherwise, Course content is not legal, engineering, accounting, tax, financial, investment, medical, psychological, safety-certification, employment, immigration, or other regulated professional advice.

Students must obtain advice from an appropriately licensed professional regarding their particular circumstances.

Examples, opinions, scenarios, templates, and calculations may be simplified for teaching purposes and must be independently reviewed before use in a professional, technical, regulated, or safety-sensitive setting.

No Guarantee of Results

Learning outcomes depend on factors outside MB Academy’s control, including prior knowledge, effort, attendance, completion, assessment performance, and the requirements of employers or regulators.

To the maximum extent permitted by law, MB Academy does not guarantee employment or promotion, licensing or certification by a third party, income, contracts, or business opportunities, examination results, acceptance of Course credit, compliance of a Student’s work product, fitness for a particular career or project, or uninterrupted Platform access.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform, Courses, and Course Materials are provided on an “as is” and “as available” basis.

MB Academy and MBEC disclaim implied warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability, except where such warranties or conditions cannot legally be excluded.

Nothing in these Terms excludes legal rights or warranties that applicable law does not permit the parties to waive.

Limitation of Liability

To the maximum extent permitted by applicable law, MB Academy, MBEC, their affiliates, instructors, officers, directors, employees, contractors, and licensors will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses, including loss of income, profits, opportunities, data, goodwill, or business interruption.

To the maximum extent permitted by law, the total aggregate liability arising from a particular Course will not exceed the amount actually paid by the Student to MB Academy for that Course during the 12 months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded, including any liability for fraud, wilful misconduct, or other excluded categories under applicable law.

Indemnity

To the extent permitted by law, students agree to indemnify and hold harmless MB Academy, MBEC, their affiliates, personnel, instructors, and licensors against third-party claims, losses, liabilities, and reasonable expenses arising from their unlawful use of the Platform, their unauthorized distribution of Course Materials, their infringement of another person’s rights, content they submit, or their material breach of these Terms.

This section does not require they to indemnify a party for that party’s own negligence, fraud, or unlawful conduct.

Sanctions, Export Laws, and Territorial Restrictions

Students may not access or use the Platform in violation of Canadian export controls, economic sanctions, or other applicable trade restrictions.

MB Academy may restrict access where providing services would expose MB Academy or MBEC to legal or regulatory risk.

Electronic Communications

They consent to receiving transactional electronic communications concerning registration, payment, Course access, assignments, password and security notices, scheduling, policy changes, and service administration.

Marketing communications will be sent only where MB Academy has an applicable lawful basis or consent. They may unsubscribe from marketing messages using the mechanism provided. Transactional or legally required communications may continue.

Complaints

Questions or complaints should first be submitted to:

MB Academy Student Support

Email: [email protected]

Please provide name, Course, order number, relevant dates, and a clear description of the issue.

We will review complaints in good faith. Privacy complaints should be directed to the Privacy Officer identified in the Privacy Policy.

Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules.

Subject to any mandatory consumer right to bring proceedings elsewhere, the courts located in [City], Ontario will have exclusive jurisdiction over disputes arising from these Terms.

Nothing in this section removes a mandatory right or remedy available to a consumer under the laws of the consumer’s province, state, country, or habitual residence.

Informal Dispute Resolution

Before starting court proceedings, each party agrees to make reasonable efforts to resolve the dispute informally.

The party raising the dispute should provide written notice describing the relevant Course or transaction, the facts, the relief requested, and supporting documents.

The parties will attempt to resolve the dispute for at least 30 days after receipt of the notice unless urgent injunctive relief is reasonably necessary, including relief relating to unauthorized distribution of Course Materials or security threats.

Changes to These Terms

We may update these Terms to reflect legal, operational, security, technological, or Course changes.

The “Last Updated” date will identify the current version. If a change materially affects an existing paid enrollment, we will provide reasonable notice where required.

Changes will not retroactively remove a Student’s mandatory legal rights.

General Terms

If any provision is held invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue.

Failure to enforce a provision is not a waiver.

They may not assign their enrollment or rights without our written consent. MB Academy may assign this agreement as part of a corporate reorganization, financing, sale, transfer of assets, or similar transaction, subject to applicable law.

These Terms, the Privacy Policy, the Course description, and the order confirmation constitute the entire agreement concerning the enrollment, unless a separate written agreement signed by MB Academy applies.

Headings are for convenience and do not affect interpretation.
